STEP 5 OF 12

Are you an accredited investor?

What does accredited investor mean? An accredited investor is an individual or entity that meets specific financial thresholds set by the SEC, allowing them to invest in unregistered securities (like private equity funds and syndications).

For individuals, you qualify if you meet ANY of the following:
Income: $200K+ in annual income for the past two years ($300K combined with a spouse), with reasonable expectation of the same this year
Net worth: $1M+ in net worth, excluding your primary residence
Professional credentials: Hold a Series 7, Series 65, or Series 82 license in good standing
Knowledgeable employee: Work for a private fund you're investing in

For entities (LLCs, trusts, corporations, etc.), the threshold is generally $5M+ in assets, or all equity owners individually qualify as accredited investors.

The accredited investor standard exists because the SEC assumes these individuals have the financial sophistication and ability to absorb potential losses that come with higher-risk, less-regulated investments.
