Media Release Signature: For good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge, I, the undersigned, hereby irrevocably grant to Elevest Capital the and its officers, directors and managers and successors, assigns and licensees (collectively, “you”) the right to use, and to grant others the right to use, my likeness, photograph, voice, name, biography, personal characteristics and other attributes (collectively, the “Attributes”) in connection with the production, distribution, advertising, promotion, and other exploitation of the podcast entitled The M.I.N.T Project Podcast (the Mastery in No Time Podcast”) or any part thereof and any allied, ancillary, and subsidiary uses in connection therewith, throughout the world in perpetuity, in any and all media whatsoever now known or hereafter devised (including, without limitation, streaming, download, mobile, social media, other digital and internet rights, radio, all forms of television, video- on-demand, theatrical, non-theatrical, home entertainment, and print publication).Such use of my Attributes may include, without limitation, the right to record, photograph, reproduce, use, and reuse (i) my appearance on the Podcast, including, but not limited to, through both audio and audio-visual footage of the interview (in whole or in part), any still photography, and/or behind-the- scenes footage occurring prior to or after such interview, (ii) any publicity photos provided by or otherwise approved by me or my representatives, (iii) any biographical material I share during or in connection with the Podcast or which is publicly available, and (iv) any other information or materials I share during the interview.I acknowledge that you are the sole and exclusive owner of all right, title and interest in and to the Podcast and all photography, recordings, and other results and proceeds hereunder (which shall be deemed a work-made-for hire for you), throughout the world in perpetuity, and nothing herein shall obligate you to use my Attributes or any of the rights granted hereunder. You shall have the right to edit or modify my appearance on the Podcast and other results and proceeds hereof, in whole or in part, and I hereby irrevocably waive any so-called “moral rights” and any similar rights under any applicable laws.I hereby release you and your respective successors, licensees, assigns, principals, shareholders, officers, employees, and representatives from, and waive and covenant not to bring at any time in the future, any claim, action, suit, demand, or liabilities of any kind or nature whatsoever, which I or my heirs, executors, administrators, or successors may have at present or which may arise at any time hereafter, known or unknown, suspected or unsuspected, arising out of or in connection with the exercise of the rights granted above, including, without limitation, those grounded upon or alleging invasion of privacy, violation of the right of publicity, defamation, false light, infliction of emotional distress, copyright or trademark infringement, misappropriation, or violation of any other rights whatsoever. In agreeing to release claims which may arise in the future, I hereby waive the benefits of Section 1542 of the Civil Code of the State of Arizona which provides as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR."I represent and warrant that (i) I am at least 18 years of age and have the full, complete and unrestricted right and authority to sign this release and grant the rights hereunder, and no one else's permission or ratification is required, and (ii) any statements made by me during my appearance are true and accurate, and neither they nor the use of my Attributes as permitted hereunder will violate or infringe upon the rights of any third party.I understand, acknowledge, and agree that (i) my appearance on the Podcast and the use of my Attributes hereunder does not violate any existing contract or collective bargaining agreement to which I am a party, (ii) in no event may I rescind or terminate this release or any rights granted hereunder or enjoin, restrain or otherwise impair the production, distribution, advertising, promotion, or other exploitation of the Podcast or any ancillary uses thereof, (iii) you shall have the right to assign this release and/or any of your rights hereunder, in whole or in part, to any party, and this release shall inure to the benefit of any such successors, licensees, and assigns, and (iv) I shall not disclose to any third party any non-public information regarding you, the Podcast, or any individuals associated therewith.This release, which represents the entire agreement between me and you with respect to the subject matter, shall be construed and enforced in accordance with the laws of the State of Arizona without any reference to any doctrine of conflicts of laws and I hereby consent to the jurisdiction of the state and federal courts located in Maricopa County. In the event any provision of this release is held unenforceable, it will be considered modified so that it is enforceable to the maximum extent permitted by law, and all other provisions will remain enforceable. I have read and fully understand the terms of this release.
